Terms of Service

1. Service Description

Rivvu ("the Service") is an AI-powered review response platform operated by Rivvu ("we," "us," or "our"). The Service monitors reviews on your Google Business Profile, generates professional responses using artificial intelligence, and provides a workflow for business owners to review, approve, and post those responses. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. User Accounts

To use the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security and confidentiality of your login credentials.
• Promptly notify us of any unauthorized access to or use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

3. Billing and Payments

The Service is offered on a monthly subscription basis. Pricing consists of a base fee per connected location plus per-review usage charges. All fees are described on our pricing page and are subject to change with reasonable notice.

• Free Trial. New accounts are eligible for a 14-day free trial. No payment information is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.
• Payment Processing. All charges are processed securely through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis.
• No Refunds. Payments are non-refundable. No refunds or credits will be issued for partial months of service or for periods in which your account remains active but unused.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle, and you will retain access to the Service until that date.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service in any manner that could damage, disable, overburden, or impair it.
• Use automated scripts, bots, or other means to scrape, crawl, or extract data from the Service.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
• Use the Service to engage in any illegal, fraudulent, or harmful activity, including but not limited to posting defamatory, misleading, or deceptive review responses.
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

5. Data Ownership

You retain full ownership of all business data, review content, and other information you provide to or generate through the Service ("Your Data"). By using the Service, you grant Rivvu a limited, non-exclusive, worldwide license to access, process, and use Your Data solely for the purpose of providing and improving the Service.

AI-generated review responses created by the Service become your property upon your approval. You are solely responsible for reviewing and approving all AI-generated content before it is posted to any third-party platform.

6. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

• Google APIs for accessing and managing Google Business Profile reviews.
• OpenAI for generating AI-powered review responses.
• Stripe for payment processing and subscription management.

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service, and we disclaim all liability arising from your use of or reliance on such services.

7. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no guarantees regarding the quality, accuracy, or appropriateness of AI-generated review responses. You acknowledge that AI-generated content may contain errors or inaccuracies and that you are solely responsible for reviewing all responses before posting.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RIVVU, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; OR (C) ANY AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICE.

8. Termination

Either party may terminate the use of the Service at any time. You may terminate your account by canceling your subscription and contacting us to request account deletion. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We will retain your data for a period of thirty (30) days following termination, after which all data associated with your account will be permanently deleted. You may request an export of your data during this 30-day period.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by sending an email to the address associated with your account. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Indiana, and the parties hereby consent to the personal jurisdiction and venue of such courts.
